400;\">In line with Legislative Decree No. 231\/01, Polo Strategico Nazionale (PSN) has adopted<\/span><b> Model 231<\/b><span style=\"font-weight: 400;\"> as an <\/span><b>organizational, management and control <\/b><span style=\"font-weight: 400;\">tool.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The goal is to <\/span><b>prevent the commission<\/b><span style=\"font-weight: 400;\">, by any member of the company, of any offences and misdemeanours that could entail administrative liability for Polo Strategico Nazionale, if carried out in the interests of or to the advantage of the company.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Model 231 follows the <\/span><b>development of current regulations, organisational and corporate changes<\/b><span style=\"font-weight: 400;\">, so as to offer an up-to-date and structured document that is integrated with the <\/span><b>company\u2019s guiding principles<\/b><span style=\"font-weight: aria-level=\"1\"><b>heavy administrative penalties may be imposed<\/b><span style=\"font-weight: 400;\"> on PSN in the event that offences are committed;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>efforts are made to intervene at an early stage<\/b><span style=\"font-weight: 400;\">, through monitoring actions, to prevent or counteract the commission of any kind of 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">a <\/span><b>General Part<\/b><span style=\"font-weight: 400;\">, which describes the relevant regulatory framework, the Governance system and organisational structure, the adopted methodology, the powers and duties of the Supervisory Board, and the Disciplinary System, including internal training and information activities.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">a<\/span><b> Special Part<\/b><span style=\"font-weight: 400;\">, which defines in detail the map of Sensitive Activities, as well as the system of controls put in place to monitor and protect these activities.\u00a0<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The Model is completed by the <\/span><span style=\"font-weight: 400;\">Code of Ethics and Conduct<\/span><span style=\"font-weight: 400;\">, the <\/span><span style=\"font-weight: 400;\">Anti-Corruption Charte<\/span><span style=\"font-weight: 400;\">r and the <\/span><span style=\"font-weight: 400;\">Whistleblowing Management<\/span><span style=\"font-weight: 400;\"> <\/span><b>Supervisory Board<\/b><span style=\"font-weight: 400;\">, which has been entrusted with the task of<\/span><b> monitoring and promoting<\/b><span style=\"font-weight: 400;\"> the correct implementation and compliance with Model 231.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Supervisory Board is vested with powers of <\/span><b>initiative<\/b><span style=\"font-weight: 400;\"> and <\/span><b>control<\/b><span style=\"font-weight: 400;\">, with the following <\/span><b>requirements<\/b><span style=\"font-weight: The Supervisory Board must act independently and must be able to perform its duties without any interference or influence. It must not find itself in any potential conflict of interest situation.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Professionalism<\/b><span style=\"font-weight: 400;\">. The Supervisory Board must have the appropriate expertise to effectively perform its activities.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Integrity<\/b><span style=\"font-weight: 400;\">. There must be no circumstances that could undermine or influence the integrity of the members of the Supervisory Board by compromising their independence and reliability.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Continuity of action<\/b><span style=\"font-weight: 400;\">.
